Default for your industry (SDE): 1.75× to 3.0×. Default multiples are illustrative ranges based on BizBuySell closed-sale averages (2021–2026, mostly U.S.), Windsor Drake's EBITDA ranges for smaller North American companies, and BDC and TD guidance for Canadian small businesses.

How valuation works

Plain-language basics.

Owner-operated businesses are usually valued on seller's discretionary earnings (SDE): the profit plus what one full-time owner takes out, plus costs that won't continue. Larger companies with managers are valued on EBITDA, which doesn't add back the owner's pay because a buyer would have to hire someone. Either figure is multiplied by a range typical for the industry. A formal valuation refines that with comparable sales, working capital and the specifics of your business.
