Sellvara Valuation Disclaimer

Version 1.1. Effective date October 31, 2026.

Short notice

This notice appears beside every calculator result and will appear with every written estimate report.

This is an automated estimate for information only. It is not a formal valuation by a Chartered Business Valuator, an appraisal, or financial, investment, tax or legal advice, and you should not rely on it to buy, sell or price a business. See the full Valuation Disclaimer.

1. What this disclaimer covers

This disclaimer applies to every valuation estimate, range, multiple, benchmark, figure and explanation produced by Sellvara Inc. ("Sellvara"), including results from the free valuation calculator and written estimate reports (each an "Estimate"). It forms part of our Terms of Service. By using the calculator, buying a report or viewing an Estimate, you agree to it.

It does not apply to a valuation prepared by an independent chartered business valuator you engage through the Platform. That valuator is solely responsible for their own work and report.

2. An estimate, not a valuation

An Estimate is an automated estimate for general information only. It is not a valuation report or opinion prepared by a chartered business valuator or under the practice standards of the CBV Institute, an appraisal, a fairness opinion, or financial, investment, tax, accounting or legal advice. It is not a recommendation to buy or sell a business or to accept or reject any offer. Estimates are not prepared, reviewed or signed by a chartered business valuator or any other credentialed valuator.

3. How Estimates are produced

The calculator multiplies the seller's discretionary earnings you enter by an assumed range of multiples, which you may override. That range is not based on verified sale comparables.

A written estimate report explains a fixed Estimate at the time it is prepared. It may refer to Canadian industry operating benchmarks published by Innovation, Science and Economic Development Canada, which describe how businesses operate and are not sale prices of individual businesses, and to comparable transactions gathered by Sellvara from available sources. Where benchmark or comparable coverage is missing, the report says so. Our systems perform the calculations, and an artificial intelligence model writes the explanation.

Estimates rely on the information you provide, which Sellvara does not audit or verify. If your inputs are inaccurate, incomplete or out of date, the Estimate will be too. Automated calculations and AI-written text can contain errors or omissions, and may sound more certain than the underlying analysis justifies. Comparable transaction data may be incomplete or may not match your business.

[Before written reports launch, describe the final inputs and methods here.]

4. Actual value may differ

What a business is worth depends on many factors an Estimate does not capture, including the quality and consistency of earnings, reliance on the owner, customer and supplier concentration, contracts and leases, the condition of assets, liabilities, industry and market conditions, the availability of financing, deal structure and negotiation. The price a buyer actually pays may differ significantly from any Estimate. An Estimate reflects one point in time, and market conditions change.

5. Uses an Estimate is not suitable for

Do not rely on an Estimate to set or accept a sale price without independent advice, or for tax filings and planning, financing or lending decisions, estate, family law or litigation matters, shareholder disputes, insurance, or any regulatory purpose. For these, obtain a formal valuation from a chartered business valuator.

6. Sharing an Estimate with buyers

An Estimate is visible only to the seller who prepared it, unless the seller chooses to share it with buyers they have approved. A seller who shares an Estimate must share the whole report, including this disclaimer, and not extracts. Buyers and other third parties may not rely on an Estimate. Sellvara owes no duty of care to any buyer or third party in connection with an Estimate, and anyone who relies on it does so at their own risk. A seller remains responsible for any statement about value made in negotiations.

7. Price and refunds

The calculator is free. The price of a written estimate report is shown before purchase. Refunds are governed by section 9.6 of our Terms of Service.

8. Liability

To the maximum extent permitted by law, Sellvara is not liable for any loss arising from the use of, or reliance on, any Estimate. Sellvara's total liability relating to any written estimate report is limited to the price paid for it, and section 18 of our Terms of Service applies.
